Instructor Agreement

  • This Instructor Partnership Agreement ("Agreement") is entered into on
  • MM slash DD slash YYYY
  • (the "Effective Date") by and between the following parties:
  • Training Express Ltd (hereinafter referred to as "Training Express"), a company registered under the laws of the United Kingdom (Company House registration), specializing in the provision of e-learning, training, and skill development courses through its online platform; and
  • (hereinafter referred to as the "Instructor"), a developer of course content,
  • who agrees to license specific courses to Training Express on a profit-sharing basis for the sale of online courses.
  • WHEREAS, Training Express operates an online platform for delivering e-learning courses and training programs; and
    WHEREAS, the Instructor wishes to establish a commercial relationship with Training Express to share profits generated from the sale of licensed courses;
    NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:
    1. 1. Definitions

      In this Agreement, the following terms shall have the meanings ascribed to them unless the context requires otherwise:

         Parties and Entities

         1.1 Parties - Refers to the contracting parties, Training Express and the Instructor.

         1.2 Associated Partners - Partners of Training Express authorized to sell courses under Clause 2.

         1.3 Third-Party - Entities partnered with Training Express's associated partners, authorized to promote but not sell courses under Clause 2.4.

         1.4 Customer - An individual who purchases a course under the terms and conditions of Training Express and its associated partners.

         Courses and Sales

         1.5 Course - A program delivered electronically via the internet or other computer-based methods, taught remotely by an instructor, with student access provided synchronously, asynchronously, or both.

         1.6 Course Price - The price of a single course as determined by Training Express.

         1.7 Sale - The successful purchase of a product sold by Training Express or its associated partners.

         1.8 Licensed - The right to sell a product as outlined in Clause 2 of this Agreement.

         Course Bundles and Campaigns

         1.9 Instructor Campaign - A collaborative bundle of courses created with other instructors.

         1.10 Featured Course - A course highlighted as the primary offering in a bundle.

         1.11 Additional Course - A course included as a promotional item alongside a featured course in a bundle.

         Financial Terms

         1.12 Revenue - The total sale price of a course, including VAT, as listed on Training Express's or its partners' websites.

         1.13 Third-Party Revenue - The amount received for a course sold through a third party.

         1.14 VAT - Value Added Tax or any equivalent tax applicable in the UK.

         1.15 EAT - Earnings after deducting VAT.

         1.16 Marketing and Operating Costs - Actual costs incurred by Training Express and its associated partners for marketing and operating the courses.

         1.17 Profit - The amount remaining after deducting marketing and operating costs from EAT.

         Services

         1.18 Services - Marketing, delivery, administration, maintenance, and provision of courses to customers by Training Express and its associated partners.

    2. 2. Course Delivery, Listings, Selling, Usage & Management

       2.1 Course Content Submission & Listing
      The Instructor shall provide Training Express with all course content, materials, images, videos, and details. These will be shared via Dropbox, Google Drive, or another file hosting service designated by Training Express. Training Express will publish and list the Instructor's courses on its platform.

       2.2 Licensing & Distribution
      Subject to the terms of this Agreement, the Instructor grants Training Express and its associated partners a license to sell, bundle, divide, distribute, publicly perform, offer, and market the courses during the term of this Agreement. Training Express's associated partners may advertise and promote the Instructor's courses on their websites and through their advertising channels. Third-party partners of Training Express's associated partners may promote but not sell the Instructor's courses. Training Express acknowledges that all courses are licensed for sale by the Instructor.

       2.3 Marketing & Promotional Use
      The Instructor grants Training Express the right to use shared courses at 100% commission for promotional marketing on partnered advertising sites.

       2.4 Customer Support & Quality Control
      Training Express and its associated partners shall be responsible for customer assessment, support, and certification for enrolled students. The Instructor agrees that Training Express may record course sessions (excluding personal introductions) for quality control, marketing, and operational purposes.

       2.5 Responsibilities of Training Express & Its Partners
      Deliver services and maintain their websites in a commercially acceptable manner. Ensure marketing and course provision adhere to good business ethics and do not harm the Instructor's reputation.

       2.6 Limitations & Obligations
      Training Express shall not imply any obligations on the Instructor beyond this Agreement or make unauthorized representations to customers or third parties.

    3. 3. Course Pricing

      Training Express and its associated partners reserve the right to determine course prices, discounts, and promotions.

    4. 4. Revenue, Costs, Profit & Profit Share

         4.1 Revenue Distribution for Direct Sales
        For courses sold through Training Express's associated partners:

        • 20% VAT will be deducted from the revenue.
        • 37% will be deducted for marketing and operating costs from EAT.
        • The Instructor's profit will be 50% of the remaining amount.
        • Example Calculation:
          •   If a course generates £20 in revenue, the Instructor's share is calculated as:
            •   50% of (£20 - 20% VAT - 37% marketing costs) = £5.04

         4.2 Revenue Distribution for Third-Party Sales

        • For third-party sales, the Instructor's profit will be 50% of the revenue after deducting 37% for marketing costs and 20% VAT.

         4.3 Subscription Sales Profit

         Profit from subscription sales will be proportional to the number of courses enrolled by the customer during the subscription period

    5. 5. Payment

         5.1 Payment Schedule: We process instructor payments on a monthly basis, typically for the previous month’s course sales. Payments are made via PayPal (preferred for quicker transfers) or bank transfer. To ensure smooth payment processing, we will ask you to complete a Self Billing Agreement to confirm your payment details.

         5.2 Subscription Payments: Subscription payments will be calculated as per Clauses 4.3 and 4.4.

         5.3 Payment Processing: Payments will be processed based on the payment information provided by the Instructor.

         5.4 Payment Method

    6. 6. Refunds

      Customers are entitled to refunds as per Training Express’s refund policy. No payments will be made for refunded courses. Training Express may deduct refunded amounts from future payments or require reimbursement from the Instructor.

    7. 7. Taxes

      Training Express is responsible for applicable sales tax, VAT, and other taxes related to course sales, except for taxes based on the Instructor’s net income..

    8. 8. Customer Ownership

      All enrolled customers are considered customers of Training Express and its associated partners. Training Express is solely responsible for providing customer support, assessments, and certifications for enrolled students. This responsibility includes managing inquiries, resolving issues, and ensuring students receive their certifications upon course completion.

    9. 9. Instructor’s Obligations

      The Instructor agrees to the following obligations to ensure a smooth and compliant partnership:

       9.1 Course Accuracy and Completeness
      The Instructor must ensure that the content provided for the course is accurate, complete, and of high quality.

       9.2 Prohibited Content
      The Instructor shall not provide content that is illegal, offensive, or infringing upon any intellectual property rights. This includes content that violates any laws or ethical standards.

       9.3 Advertising and Solicitation Restrictions
      The Instructor shall not engage in unauthorized advertising or solicitations outside of the established processes and agreements outlined in this contract.

       9.4 Operational Integrity
      The Instructor shall not interfere with the operations of Training Express or disrupt the activities of other instructors, ensuring a collaborative and professional environment.

    10. 10. Intellectual Property

      The Instructor retains full ownership of all intellectual property rights related to the course content, including but not limited to, course materials, images, videos, and other resources. Training Express is granted a license to sell and market the courses as specified in this Agreement, but this license does not transfer any ownership of the intellectual property to Training Express.

    11. 11. Confidentiality

      Both parties agree to maintain the confidentiality of all business, financial, and customer information that is shared during the course of this Agreement. This includes all proprietary information, trade secrets, and customer data related to course sales and operations. The confidentiality obligations shall remain in effect even after the termination of this Agreement.

    12. 12. Term and Termination

       12.1 Term
      This Agreement will commence on the Effective Date and continue for a period of one year, with automatic renewals unless either party decides to terminate it.

       12.2 Termination Notice
      Either party may terminate this Agreement with 30 days’ written notice. The notice must be given in writing and will be considered effective once received by the other party.

       12.3 Post-Termination Obligations
      The confidentiality and profit-sharing obligations will survive the termination of this Agreement, meaning they will remain in effect even after the Agreement ends.

    13. 13. Miscellaneous

       13.1 Independent Contractors
      Both parties acknowledge that they are independent contractors. Nothing in this Agreement shall create a joint venture, partnership, or employment relationship between them.

       13.2 Amendments
      Any amendments to this Agreement must be made in writing and signed by both parties. Verbal agreements or informal changes will not be valid.

       13.3 Limitation of Liability
      Neither party shall be liable for incidental or consequential damages arising out of the performance or failure to perform under this Agreement, except as otherwise stated by applicable law.

       13.4 Dispute Resolution
      In the event of any disputes, both parties agree to attempt to resolve them amicably. If amicable resolution is not possible, the dispute will be settled through legal means as specified by applicable jurisdiction.
